Terms of Service

These Terms of Service are a contract between you and BidDown LLC ("we," "us"), an Indiana company, doing business as The Porch Sale. By creating an account or using The Porch Sale, you agree to these terms.

What The Porch Sale is

The Porch Sale is a marketplace where sellers list items or time-slot services with a starting price, a Buy It Now price, or both — bidders can push a starting price up until the listing ends, or any buyer can purchase a Buy It Now listing outright. We facilitate the listing, bidding, and purchase mechanic. We are not a party to the underlying sale between buyer and seller, and don't guarantee any transaction will complete.

Accounts

You must provide accurate information and are responsible for activity on your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to use The Porch Sale.

Intellectual property

We own the platform itself, its design, code, and branding. Using The Porch Sale gives you a limited, personal license to access and use it. It doesn't give you the right to copy, resell, scrape, reverse-engineer, or build a competing product from it. You keep ownership of the photos and descriptions you post (see "Your content" below).

Feedback

If you send us feedback or suggestions about The Porch Sale, you're giving us permission to use that feedback however we want, without owing you anything or crediting you for it. Don't send us feedback you consider confidential.

Coins

Coins are The Porch Sale's flat-rate action currency, used to post a listing and to place a bid (buying a listing outright with Buy It Now doesn't cost a coin). Coins have no cash value, aren't redeemable for cash, and can't be transferred between accounts. Coins purchased with real money are generally non-refundable except where required by law. If your account is closed or terminated for violating these terms, any unused coins are forfeited.

Membership subscriptions

Membership is billed through Stripe and renews automatically each month at the then-current price until cancelled. The monthly coin allowance included with membership resets each billing period — unused coins from a prior period don't carry over. You can cancel anytime from your profile page; cancellation takes effect at the end of the current billing period, you keep your benefits until then, and we don't provide partial-period refunds except where required by law.

Conduct

You agree not to post fraudulent listings or bids, misrepresent an item or service, infringe anyone else's intellectual property, scrape or misuse the platform, circumvent the coin system, or use The Porch Sale for any unlawful purpose. We may suspend or terminate accounts that violate these terms.

Your content

You keep ownership of the photos and descriptions you post, but you grant us a license to host, display, reproduce, and resize/format that content as needed to operate the platform (for example, showing your listing photos). You're responsible for making sure you have the rights to what you post.

Transactions between users

We facilitate the listing, bidding, and Buy It Now mechanic only. We're not a party to the underlying sale, never take possession of the item or of any funds beyond coin and membership purchases, and don't process payment for the item itself or arrange shipping. Once an auction ends or a Buy It Now purchase completes, payment and — for shippable items — delivery happen directly between buyer and seller, on whatever terms the listing stated (shipped, or local pickup only). Use good judgment; we're not responsible for the condition, authenticity, or delivery of items exchanged between users, or for either side following through on a deal.

Services listings

Services listings (time-slot appointments) are Buy It Now only, and payment for the underlying service happens directly between buyer and seller when the service is actually performed — we don't process, hold, or guarantee that payment, and we're not responsible for the quality, performance, or completion of any service booked through the platform.

Disputes between users

We don't currently offer an in-platform tool to report a listing or another user. If you run into fraud, abuse, or a listing that violates these terms, contact us below and we'll review it. We may take action at our discretion, including removing a listing or suspending an account, but we don't guarantee a particular outcome or act as a neutral arbiter of disputes between users.

Copyright

If you believe content on The Porch Sale infringes your copyright, contact shiloh@biddown.app with a description of the work, the infringing material's location, and your contact information, and we'll investigate.

Termination

We may suspend or terminate your account for violating these terms. If your account is terminated for cause, any unused coins are forfeited and open listings or bids may be cancelled; you remain responsible for any amounts owed to us as of termination.

Disclaimers and limitation of liability

The Porch Sale is provided "as is" without warranties of any kind. To the maximum extent permitted by law, our total liability to you for any claim arising from your use of the platform is limited to the greater of $100 or the amount you paid us in the 12 months before the claim, and we're not liable for indirect, incidental, or consequential damages.

Indemnification

You agree to indemnify and hold BidDown LLC harmless from any claim or dispute arising from your use of the platform, your content, your transactions with other users, or your violation of these terms.

Governing law

These terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles. For anything not covered by the arbitration agreement below, you and we consent to the exclusive jurisdiction of the state and federal courts in Huntington County, Indiana.

Dispute resolution and arbitration

Before filing a claim, you agree to try to resolve the dispute informally first, by contacting shiloh@biddown.app or writing to BidDown LLC, 44 E Park Dr. Suite E, Huntington, IN 46750. Give it 60 days. Any dispute that isn't resolved informally will be decided through binding individual arbitration administered by JAMS (jamsadr.com), conducted in the county where you live, rather than in court, except that either side may bring an individual claim in small claims court or seek a court injunction to protect intellectual property. You and we each waive the right to a jury trial and to bring or join a class, representative, or collective action; claims can only be brought individually. Each side generally covers its own attorneys' fees unless the arbitrator finds a claim was frivolous.

Arbitration opt-out

You can opt out of the arbitration agreement above within 30 days of first agreeing to these terms by writing to BidDown LLC, 44 E Park Dr. Suite E, Huntington, IN 46750, or shiloh@biddown.app, with your name, address, and a clear statement that you're opting out. Opting out doesn't affect the rest of these terms.

Accessibility

We aim for The Porch Sale to be usable by everyone, including people with disabilities, and target WCAG 2.1 Level AA as a guide. If you run into an accessibility barrier, let us know at shiloh@biddown.app and we'll do our reasonable best to fix it.

California residents

You may report complaints to the Complaint Assistance Unit of the California Department of Consumer Affairs at 1625 N. Market Blvd. Suite N112, Sacramento, CA 95834, or (800) 952-5210. BidDown LLC's address is 44 E Park Dr. Suite E, Huntington, IN 46750.

General

If any part of these terms is found unenforceable, the rest remains in effect. We're not responsible for delays or failures caused by events outside our reasonable control. You may not assign these terms; we may assign them in connection with a merger, acquisition, or sale of assets. These terms are the entire agreement between you and us regarding your use of the platform.

Changes to these terms

We may update these terms as the product evolves. Continued use of The Porch Sale after a change means you accept the updated terms.
